QUERY: Should Book Publishing Contracts Include a Morals Clause?

We were recently engaged in an online debate with several authors regarding their online postings, negativity and behavior. Several claimed that their behavior and conduct had no impact on their reputation or relationship with their publishers.

Reputation Management has recently become a hot topic and it no longer just involves corporations and prospective employees. Harper-Collins has recently introduced a “morals” clause into the termination provisions of its author contracts. It’s very broad language that could permit the termination of a contract, require repayment of advances and other legal options to the publisher in the event that an author’s conduct is less than moral, disrespectable or potentially damageable to sales. Here’s the clause:

8. PUBLISHER’S RIGHTS OF TERMINATION

If (i) Publisher determines that any of the representations of Author set forth in Section 6(a) is false, or (ii) Author breaches the covenants set forth in Sections I(f), I(g), 2(c), or 2(d), or (iii) Author commits a breach of any covenant contained in the Special Provisions section of Part I above for which Publisher is given a right of termination, or (iv) Author’s conduct evidences a lack of due regard for public conventions and morals, or Author commits a crime or any other act that will tend to bring Author into serious contempt, and such behavior would materially damage the Work’s reputation or sales, Publisher may terminate this Agreement and, in addition to Publisher’s other legal remedies. Author will promptly repay the portion of the Advance previously paid to Author, or, if such breach occurred following publication of the Work, Author will promptly repay the portion of the Advance which has not yet been recouped by Publisher. (Emphasis Added).

Should your online behavior be a concern to your publisher when your credibility is questioned? Does the publishers economic interest in your book outweigh your freedom of expression? What if your online representations are proven false and damaging to another entity or individual?

What was Victoria’s Motivation? Missing Pieces to the Puzzle

The blog postings, regarding American Book Publishing, that recently raised our curiosity and inquisitiveness, failed to reveal any “investigation” regarding American Book Publishing.  Victoria Strauss has posted on numerous internet sites that American Book Publishing has been the subject of an “investigation.” In addition, under its “Alerts for Writers” section, the Science Fiction & Fantasy Writers Association (SFWA) also states “American Book Publishing has been the focus of at least one police investigation.” (emphasis added)

The missing pieces to this very puzzling story centers on this section of the posting in question:

“I’m beginning to also conclude that perhaps what the company stated in their defense to me is much more true and likely. That you made a phone call to a police department and then falsely reported it as a ‘police investigation of the company’ to shock and scare their authors into contacting you with their worries and attracted their most inexperienced authors.” And why would I do such a thing? Mr. Wentworth claimed to know the truth: “I asked the company the same questions I asked you, and they stated that you had tried to get on their payroll as contract administrator and when they refused you, you followed up on your threat to post this false report.” (emphasis added)

We have exhaustively researched every conceivable law enforcement agency within the jurisdiction and have not located any evidence of a police “investigation.” This may indeed be a “fairy tale” as Victoria Strauss has suggested. The unanswered questions that remain are: 1) Why have they chosen to retain these postings where no evidence can be offered to the contrary?; 2) Did Victoria Strauss attempt to get on the payroll of American Book Publishing?; and 3) Were these postings the result of following up on a threat by Victoria Strauss to post a false report?

Only Victoria Strauss and SFWA can answer these questions. As of this date, there is no evidence of an “investigation.” Therefore, one can only conclude that there is more to this than we know. Until this is answered satisfactorily, the motivation and credibility behind these statements need to be “investigated” and questioned further. In addition, if credible proofs cannot be presented, the appropriate officials should consider some form of disciplinary action.

Update – April 21, 2011: Victoria Strauss Claims Amazon Rankings Are Not A Reliable Sales Indicator

NOTE: They are not reliable but they are checked “obsessively” every day. There is also a Boycott & Petition on Victoria Strauss’ Books due to the unanswered Request to Reveal Evidence of  an police “Investigation” regarding a publisher. For more information CLICK HERE. Victoria Strauss and the SFWA have remained silent and have failed to produce proofs.

If you have received a hefty advance from a “traditional” publisher, this proposition (above) is an easy one to make. In addition, if your own most recent book release (The Arm of the Stone, released January 1, 2011) is not even ranked on Amazon and not even producing data on Amazon . . . in the interest of public relations and marketing . . .  this is also a desperate proposition to make to the Kool-Aid drinking minions looking for wisdom from the Grand Master. Let’s not overlook the other struggling sales. Granted royalty statements may be the best provider of actual sales, but Amazon Sales Rankings do matter and the historical data is an excellent benchmark to measure the success (or failure) of your book(s). For example, since there isn’t any traceable Amazon data on the hard copy, the e-book version of The Arm of the Stone does provide some insightful information if you do the math.

Are you starting to get the picture here now? Less than one copy, on average, every five days. Amazon Sales Rankings don’t matter? Have some more Kool-Aid.

Contrary to Victoria Strauss’ opinion, there is a logical mathematical equation that proves that there is more validity in actual science (and proofs) versus mere rhetorical and salvation-based opinion. The equation can convert the Amazon Sales Rank into the actual number of sales on a weekly basis. The formula is:

Sales/week = e to the power (10.526-(.87*sales rank)

To put this into an Excel spreadsheet: =EXP(10.526-(0.87*LN(rank)))

Contrary to Victoria Strauss’ statement that Amazon Sales Rankings “are not a reliable way of judging sales,” this data has been actually vetted by four scientific studies that reviewed 1000’s of various titles. In addition, the authors of these studies found a direct and predicable relationship between the Amazon Sales Rankings and the actual Ingram sales data. In conclusion, Amazon Sales Rankings are a valid benchmark to measure and predict your book sales. Don’t be convinced by rhetorical statements, ignorant conjecture or opinions when scientific evidence is readily available. This is science not Science Fiction. It really causes you to wonder . . .  how much longer is a publisher willing to grant advances, invest in an author when there’s little return on the investment?

The quote above is the headline to the Preditors & Editors website. Seriously, how pathetic can David L. Kuzminski be? Asking authors to bail his tuches (ass) out with donations to fund his legal defense? We don’t need to tell you that authors are generally not the highest paid individuals. For David L. Kuzminski to ask for financial assistance from them is despicable. As you may know, a self-published author must sell approximately 5000 books before he/she breaks even. Considering David L. Kuzminski’s own Amazon Sales Rankings, it’s no wonder that he would solicit handouts for a legal problem that he alone created.

David L. Kuzminski, if you’re going to “give out information” at least back it up with primary source material. It’s not that some people “do not like P&E,” it is, however, the total lack of disregard of proving claims with demonstrative evidence that people don’t agree with. Unfortunately, in your case, it appears to have caught up with you. It’s your problem and it’s time for you, and only you, to face it. Again, to request struggling authors to financially support your legal defense is despicable. It reeks of the very same accusations you’ve made against various publishing companies. literary agents and individuals. It’s time to put your big boy pants on and face your own reality. If your experience contributes anything to the publishing world, perhaps it will be what not to do and solidify the need for using primary source material. If the low donations to the “Atlanta Nights” film project (and the dreadful Amazon Sales Rankings of the companion book) are any indication of author support, we would assume that few are supporting your plea. Please, stop begging from authors and remove this pathetic request for donations. Remember what “Uncle Jim” says, “money flows to the author.” However, it should not flow to the legal defense fund of another author.

Normally, only registered non-profit ((501 (c) (3)) organizations can solicit donations from the public. To do so otherwise can give rise to investigative curiosity from the Internal Revenue Service, state agencies and the Attorney General’s office of any given state. We have not found any Articles of Incorporation, DBA’s, Assumed Names or IRS documentation which categorizes Preditors & Editors or David L. Kuzminski as a “public charity.” In addition, the Preditors & Editors website is registered under David L. Kuzminski and is not affiliated with any corporation, DBA or other business entity.

A couple of blog postings, regarding American Book Publishing, recently raised our curiosity and inquisitiveness. Victoria Strauss has posted on numerous internet sites that American Book Publishing has been the subject of an “investigation.” In addition, under its “Alerts for Writers” section, the Science Fiction & Fantasy Writers Association (SFWA) also states “American Book Publishing has been the focus of at least one police investigation.”

Consistent with the applicable Freedom of Information Act (FOIA) we have conducted some extensive (exhaustive) research with the agencies listed below. As a result, we have neither located evidence nor reports of any “investigation” involving American Book Publishing in these jurisdictions. The only “investigation” that we did locate involved a “theft” at the residence of Ms. Nunn who had a break-in to her home and also sustained damage thereto.

Victoria Strauss and SFWA where is the “investigation”? Where is your documentation and evidence? Based on these results, we believe that these are very serious allegations to be making if no such “investigation” has been undertaken. In the interest of good business ethics, these postings by Victoria Strauss and the SFWA should be deleted, retracted and apologies should come forth immediately if they are unable to produce any primary source material as evidence of an investigation. Considering the lack of evidence, it would also be interesting to know exactly what the true motivation was and why Victoria Strauss and SFWA posted this information.

A company spokesperson for American Book Publishing stated: “As a result of these postings made by Writers Beware, SFWA and Author Victoria Strauss, American Book Publishing began a quality control documentation process with all their authors over the past 8 years. We have obtained permission from our authors to publish on the company website the comments and references that we have received from them with their full name and book titles. American Book Publishing has over a 95% author satisfaction rating and you may see over 350 of these author references at http://americanbookpublishingauthors.com“.

American Book Publishing does have an A+ rating with the Utah Better Business Bureau. This report may be viewed at:

It’s interesting to note that Writer Beware officer, A.C. Crispin emphatically frowns on authors using the Better Business Bureaus to “investigate” publishers. She also cautions authors to rely on the Writer Beware and the Preditors & Editors sites as a better sources of information. However, in this instance, one has to really question the validity of using them as a valid source of investigative information when they fail to provide primary source material to back up their postings.

Victoria Strauss recently has also made statements that implied that the Florida Attorney General’s case against Strategic Book Group is the result of the defendant’s delay tactics. Numerous requests have been made to Victoria Strauss to produce primary source material as proof. Nothing has been produced by Victoria Strauss to verify these statements and she has remained silent. We have received information indicating that the delay in prosecution may be the result of a lack of evidence.
